EACH4OTHER TERMS OF USE

These Terms are originally drafted in English. Translations may be provided for convenience. To the extent permitted by applicable law, the English version controls if a translation conflicts with or differs from the English version.

Important: These Terms form a legally binding agreement between you and Each4Other™ Inc. They apply to your access to and use of the Each4Other™ website, applications, Marketplace, social features, business tools, campaigns, memberships, virtual credits, and related services.

1. Acceptance and Scope

These Terms of Use (the "Terms") are a binding agreement between you and Each4Other™ Inc. ("Each4Other™," "E4O™," "we," "us," or "our"). By creating an account, clicking to accept, accessing, or using any part of the Platform, you agree to these Terms and to all policies, program rules, campaign terms, and disclosures incorporated into them.

The "Platform" includes each4other.space, related mobile or web applications, user and business accounts, profiles, Marketplace, social and community features, Business Suite, Campaign Builder, Task Board, ShareSpread, TryMe, Dream Auction™™, Coins, VIP, referrals, analytics, shipping and tracking interfaces, and any other service made available by Each4Other™.

Additional rules may apply to a particular feature, transaction, campaign, subscription, lot, product, service, or jurisdiction. Those additional rules form part of these Terms. When a specific program rule directly conflicts with these Terms regarding that program, the specific rule controls for that subject only.

If you use the Platform for a company, organization, or other legal entity, you represent that you have authority to bind that entity. In that case, "you" includes both you and the entity.

2. Definitions

Business Account: an account used by a company, brand, merchant, service provider, organization, or other legal entity.

Creator: a User whose account has been approved or enabled for creator-facing tools, content collaborations, campaigns, or recommendations.

User: an individual registered account holder, including a Creator unless context requires otherwise.

Business Suite: the business-facing workspace for stores, products, orders, shipping, campaigns, analytics, billing, and related tools.

Campaign Builder: the platform tool used to configure Omni Campaigns, Batch Campaigns, Dream Auction™™ lots, TryMe campaigns, ShareSpread tasks, or other promotional workflows.

Coins: limited, revocable platform credits with no cash value, subject to Section 14 and separate Coins Terms.

Dream Dollars or DD: simulation-only units used solely in Dopamine Mall, if and when that module is made available.

Lot Provider: the Business that creates, sponsors, supplies, or is responsible for fulfillment of a Dream Auction™™ lot.

Official Rules: the Dream Auction™™ Master Official Rules, applicable jurisdiction schedules, and Lot-Specific Rules.

Third-Party Provider: a service provider such as Stripe, Shippo, identity, tax-document, cloud, analytics, or security providers integrated with the Platform.

3. Eligibility and Geographic Availability

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to create or use an account.

The Platform may be viewed or used only where permitted by law. Certain features, transactions, products, services, campaigns, and lots may be unavailable based on country, state, province, territory, age, licensing, delivery area, service radius, or other eligibility requirements.

Dream Auction™™ is governed by separate Official Rules. At launch, residents of Florida, New York, and Rhode Island may register and use other available Platform features but are not eligible to participate in Dream Auction™™. Puerto Rico and Canada may be included subject to applicable Official Rules and Lot-Specific Rules. Canadian users must successfully complete the required skill-testing question before a valid entry is created.

You must provide accurate residence, age, identity, and eligibility information. Misrepresentation, concealment, use of a false address, or circumvention of geographic controls may result in cancellation of an entry or transaction, loss of a benefit, account restriction, and other action permitted by law.

4. Accounts and Role Types

4.1 User Accounts

A User account may include a public profile, interests, Marketplace access, purchases, social features, Task Board access, ShareSpread tasks, TryMe eligibility, Coins Wallet, referrals, and other available tools.

4.2 Creator Status

Creator status is an extension of a User account, not a separate legal identity. We may require an application, content categories, portfolio or social links, verification, performance information, or acceptance of additional Creator Terms.

4.3 Business Accounts

Business Accounts may create a public page, prepare or operate a store, list products or services, manage orders, use Business Suite, create campaigns, provide lots, access analytics, and use other commercial tools. Additional Business and Seller Terms apply.

4.4 Account Security

You are responsible for safeguarding your credentials, maintaining accurate account information, and all activity under your account. You must promptly notify us of suspected unauthorized access. You may not sell, transfer, rent, share, or allow another person to control your account except through approved team-access features.

4.5 One Person, One Account

Unless we expressly authorize otherwise, an individual may maintain only one personal account. Businesses must not create duplicate or related accounts to evade restrictions, manipulate statistics, obtain duplicate benefits, self-refer, or circumvent payment, eligibility, campaign, or enforcement rules.

5. Account Verification and Third-Party Onboarding

Certain functions may require email or phone confirmation, age confirmation, identity or residency verification, business verification, payment onboarding, tax-document onboarding, or other checks.

Stripe or another approved provider may be required for subscriptions, Business Accounts, payouts, referral rewards, monetized features, or other financial functions. A connected Stripe account is governed by Stripe's own agreements. Unless expressly approved through a formal account-change process, one Stripe account may be linked to only one E4O™ account.

Business tax and onboarding documents may be collected and processed directly through Stripe or another approved Third-Party Provider. Each4Other™ does not intend to collect or store full Social Security numbers, full tax identification numbers, or full payment-card credentials on the Platform.

We may reject, limit, suspend, or require reverification when information is incomplete, inconsistent, expired, associated with another account, or presents legal, fraud, sanctions, payment, or safety concerns.

6. Platform Services

Each4Other™ provides technology, discovery, communication, promotional, marketplace, campaign, moderation, analytics, and integration tools. Available features may differ by account type, subscription, location, device, rollout stage, and compliance status.

Some features may operate in manual or semi-automated mode during MVP or testing. Human administrators may review listings, accounts, campaigns, user content, risk signals, disputes, verification, fulfillment, and other sensitive matters. Manual review does not authorize an administrator to manipulate an independent Dream Auction™™ selection.

We may introduce, modify, pause, test, limit, or discontinue features, categories, limits, interfaces, or integrations. We do not promise that every announced or planned feature will launch or remain available.

7. Marketplace Purchases and Seller Relationships

The Marketplace enables Businesses to offer products and services to Users. Unless Each4Other™ is expressly identified as the seller, the Business is the seller or service provider and is solely responsible for the offer, description, pricing, inventory, legality, quality, safety, licenses, taxes, warranties, returns, customer service, and fulfillment.

Each4Other™ may facilitate discovery, checkout, payment routing, communication, shipping labels, tracking, moderation, and dispute workflows, but does not become the manufacturer, seller, carrier, installer, professional provider, or guarantor of a third-party product or service merely by providing those tools.

Product pages may display sales, return, delivery, complaint, damage, or satisfaction metrics. These metrics may be calculated from Platform data and may be incomplete, delayed, disputed, or affected by sample size. They are informational and are not a warranty or endorsement.

Buyers must review the product or service page, delivery restrictions, return terms, licensing or age requirements, and all applicable Seller terms before purchase.

8. Business Accounts, Stores, and Business Suite

A Business may create a store and upload draft listings before a paid plan is activated, subject to current plan terms. A paid Business subscription may begin after the first completed sale or another activation event clearly disclosed at checkout or in the applicable plan terms.

Businesses must provide accurate legal, contact, product, service, pricing, tax, licensing, brand-rights, shipping, return, and fulfillment information. Businesses must maintain all permits, registrations, insurance, professional credentials, authorizations, and intellectual-property rights required for their activities.

We may moderate, reject, unpublish, queue, restrict, or require changes to a listing, store, campaign, or Business Account. Approval or a verified badge does not constitute certification, partnership, or endorsement.

A Business is responsible for the conduct of its employees, contractors, team members, and authorized users. The Business must keep team access current and revoke access promptly when authority ends.

9. Campaign Builder

Campaign Builder allows eligible Businesses to configure one or more Platform tools around products, services, or content. An Omni Campaign may use one product or service across multiple tools. A Batch Campaign may apply one selected tool across multiple products or services.

The Business is responsible for campaign instructions, eligibility, budget, promised rewards, required disclosures, content rights, geographic settings, fulfillment, and compliance with advertising, endorsement, consumer-protection, privacy, promotional, employment, and other applicable laws.

Submission through Campaign Builder does not ensure publication. We may require edits, additional documentation, a reserve, a payment method, fulfillment confirmation, or acceptance of feature-specific terms.

10. Dream Auction™™

Dream Auction™™ is a promotional feature governed by the Dream Auction™™ Master Official Rules, applicable jurisdiction schedules, and Lot-Specific Rules. Those documents are incorporated into these Terms.

No purchase is necessary. A valid free participation method is available as described in the Official Rules. One eligible person may have no more than one valid entry per lot, regardless of the participation method. Coins, activity, membership, payment, badges, priority status, or any other benefit do not provide additional entries, added weight, or selection priority.

The independent selection process, eligibility verification, Canadian skill-testing process, seven-day confirmation period, three-notification procedure, Second Chance process, geographic exclusions, tax responsibility, and lot fulfillment are governed by the Official Rules.

The Lot Provider is responsible for the item or service, legal availability, delivery or pickup, title transfer, warranties, licenses, and tax reporting associated with its lot, except where the Lot-Specific Rules expressly state otherwise.

The Dream Auction™™ process and certain related platform methods are the subject of a pending provisional patent application owned by Each4Other™ Inc. Patent Pending.

11. TryMe

TryMe enables a Business to provide a product or service for testing, feedback, review, photos, video, or other user-generated content. Each TryMe campaign may include separate participation terms, eligibility, selection or allocation method, fulfillment requirements, content obligations, deadlines, disclosure requirements, and consequences for nonperformance.

By accepting a TryMe item or service, a participant agrees to complete the stated obligations honestly and on time. Required reviews must reflect the participant's genuine experience. Participants must clearly disclose free products, benefits, or other material connections as required by law and campaign instructions.

Failure to complete obligations may result in a warning, rejection of content, cooldown, strike, loss of future TryMe access, account restriction, or other action described in the applicable TryMe Terms. We may manually review submissions and appeals.

12. Task Board and ShareSpread

The Task Board displays available tasks, including ShareSpread campaigns. A task may require a participant to share, publish, engage with, or otherwise distribute content inside or outside the Platform.

Task-specific terms control eligibility, required action, permitted channels, submission evidence, deadlines, participant limits, and rewards. Only authentic, completed, verifiable actions qualify. Bots, fake engagement, purchased engagement, duplicate submissions, misrepresentation, prohibited automation, and manipulation are not allowed.

Participants are responsible for complying with the rules of any external social network or service used to complete a task and for including required advertising, endorsement, or material-connection disclosures.

Rewards may be withheld, reversed, or cancelled if a task is incomplete, invalid, fraudulent, duplicated, refunded, charged back, or otherwise noncompliant.

13. Creator Features and Recommendations

Creators may display active tasks, recommendations, products, services, or campaign activity on their storefront or profile. Creator status, statistics, badges, and metrics do not establish competence, authenticity, results, or endorsement by Each4Other™.

Recommendation features, including any Affirmative or referral-enabled product links, may track clicks, purchases, and qualifying events. Rewards are subject to campaign terms, validation, refunds, returns, fraud controls, and separate Referral Program Terms.

Creators must own or have permission to use all submitted content and must comply with advertising, endorsement, copyright, trademark, privacy, publicity, and platform rules.

14. Coins

Coins are limited, revocable Platform credits. Coins are not money, electronic money, cryptocurrency, a bank deposit, a security, an investment, a gift card, or stored monetary value. Coins have no cash value and cannot be withdrawn, redeemed for cash, transferred between users, sold, traded, pledged, or used outside the Platform.

Coins may be earned, granted, purchased where available, or adjusted by the Platform. Available uses may include eligible Marketplace transactions, feature access, promotions, or a permitted Dream Auction™™ participation method, always subject to separate Coins Terms.

Coins do not buy probability, additional entries, or selection advantage in Dream Auction™™. A Coin-based participation method may create no more than the same single valid entry available through other methods.

We may maintain a ledger of Coin activity; correct errors; reverse unauthorized, refunded, fraudulent, duplicated, or invalid transactions; expire promotional Coins when disclosed; or modify or discontinue Coin functionality, subject to applicable law.

If a user receives a refund for purchased Coins, associated Coins may be removed and paid Coin functions may be restricted. A user retains access to any legally required free participation method and other non-paid functions unless separately restricted for misconduct.

15. VIP Memberships and Other Subscriptions

VIP and Business plans may provide access to features, tools, pricing, analytics, or benefits described at the time of purchase. Dream Auction™™ participation remains subject to the Official Rules, including the free participation method and the prohibition on paid advantage.

Before purchase, we will disclose the price, billing frequency, material plan features, whether the subscription renews automatically, and how to cancel. By purchasing an auto-renewing subscription, you authorize recurring charges until cancellation.

User VIP Monthly. A new VIP Monthly purchase is an automatically renewing monthly subscription processed through Stripe. The checkout disclosure states the amount, first billing date, monthly renewal frequency, material benefits, and cancellation method. You must provide a separate express authorization for recurring billing. Unless you cancel before the next billing date, Stripe will charge the payment method saved for the subscription each month. We send a billing reminder before each scheduled charge.

User VIP Annual. VIP Annual is currently sold as a one-time fixed-term purchase and does not renew automatically unless a future checkout expressly says otherwise and obtains any consent required by law. Existing fixed-term or historically purchased VIP access is not converted into an automatically renewing subscription without a new express authorization.

Business Marketplace plans. A new monthly Business Marketplace plan is an automatically renewing monthly subscription processed through Stripe. Six-month and annual Business Marketplace plans are currently one-time fixed-term purchases and do not renew automatically. Existing fixed-term Business subscriptions are not converted to recurring billing without a new express authorization by a person representing that they may bind the Business.

The Business monthly checkout identifies the recurring price, first billing date, catalog limit, regular-sales commission, VIP-sales commission, and cancellation method. Those agreed terms are retained with the billing authorization. A later change to the displayed price, catalog limit, or commission does not silently amend an existing recurring contract. We request separate express approval before changed terms take effect at an eligible renewal, and commission changes do not apply retroactively to existing orders. Without approval, the changed terms are not applied and auto-renewal may end after the current paid period.

A failed Business monthly payment may receive the grace period disclosed in the Business Suite. After that period, new catalog-management activity may be restricted until billing is corrected. Billing lapse does not remove the Business's responsibility or access needed to fulfill accepted orders, process required refunds, support customers, or receive eligible payouts.

If a first-month-free VIP offer is enabled and the User is eligible, the User pays $0 for the disclosed free period and provides a payment method for later recurring charges. The checkout states the date and amount of the first scheduled charge. The offer is limited to one recurring VIP trial per User and may not be restarted by cancelling and subscribing again. The subscription may be cancelled online before the first charge.

You may cancel VIP Monthly auto-renewal online from the VIP Subscription page without contacting support. Stripe Billing Portal is also available for supported billing and payment-method actions. Cancellation stops future renewals; access ordinarily continues through the current paid or trial period and the completed period is not retroactively refunded unless required by law or stated in the applicable plan terms. We provide a retained electronic cancellation confirmation and send a reminder before non-renewing access expires.

An authorized Business administrator may cancel Business monthly auto-renewal online from Business Suite or manage the company billing method through Stripe Billing Portal. Cancellation stops future renewal charges while paid plan access continues through the current period. Cancellation does not cancel customer orders or waive existing fulfillment, refund, payout, fee, or support obligations.

A change to the displayed VIP Monthly catalog price does not automatically change the amount previously authorized for an existing User subscription. We will request a new express authorization before moving that subscription to a different recurring amount and provide advance notice required by applicable law. If the User does not authorize the changed price by the disclosed deadline, the changed amount will not be charged, auto-renewal will end, and VIP access will continue only through the last period paid at the previously authorized amount. The User remains free to cancel earlier.

Promotional trials, free periods, introductory prices, referral bonuses, and other offers may have additional eligibility and conversion terms disclosed in the purchase flow. Required service, billing, trial, price-change, and cancellation communications are transactional notices and may be sent even if optional marketing notifications are disabled.

16. Payments, Refunds, Chargebacks, and Payouts

Payments may be processed by Stripe or another approved payment provider. You authorize the applicable provider to process charges, refunds, reversals, payout instructions, and payment-method updates under its terms.

Refund eligibility depends on the applicable product, service, subscription, campaign, Coins, Seller, or feature-specific policy. A chargeback is not a substitute for contacting the Seller or Each4Other™ support regarding a legitimate issue.

We may investigate disputes, freeze associated rewards or payouts, reverse referral or campaign rewards, restrict paid functions, or suspend an account when a chargeback, payment reversal, fraud signal, or abuse occurs. Enforcement will consider available evidence and applicable law; not every chargeback automatically proves misconduct.

Payouts and rewards may be delayed for validation, fraud review, returns, refund windows, disputes, tax onboarding, or provider review. A displayed balance or pending reward is not final until released.

17. Shipping, Tracking, Returns, and Fulfillment

Shippo is the primary integrated shipping and tracking interface where enabled. Businesses may be required to create labels and tracking through the Platform rather than entering tracking manually. Carrier and Shippo data may be used as fulfillment evidence.

The Seller or Lot Provider remains responsible for proper packaging, lawful shipment, accurate address use, carrier compliance, dispatch, delivery, returns, replacement, pickup, installation, title transfer, and service performance.

A Seller must ship within the time shown on the listing or applicable Seller policy. Failure to ship may result in cancellation, refund, Trust Score impact, listing limits, suspension, or removal from seller programs.

Returns and refunds for Marketplace purchases are governed by the Seller's disclosed terms and the Platform's Shipping, Returns and Refund Policy. Dream Auction™™ fulfillment is governed by the Official Rules and Lot-Specific Rules.

18. User Content and Social Features

The Platform may allow profiles, posts, comments, reviews, ratings, messages, images, video, UGC, product descriptions, campaign materials, or other content (collectively, "User Content"). You remain responsible for your User Content and the consequences of submitting or sharing it.

You must not submit content that is unlawful, fraudulent, defamatory, threatening, harassing, hateful, exploitative, obscene, sexually abusive, invasive of privacy, infringing, counterfeit-related, malicious, deceptive, or otherwise prohibited by these Terms or Community Guidelines.

Private or direct messaging features may be subject to lawful access, security review, abuse detection, or moderation permitted by our Privacy Policy. Do not use the Platform for emergency communications or to transmit highly sensitive information.

Reviews and testimonials must be based on genuine experience and must disclose any free product, payment, reward, referral benefit, or other material connection.

19. Content License

You retain ownership of your User Content. By submitting User Content, you grant Each4Other™ a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, format, adapt for technical purposes, distribute, and communicate that content as reasonably necessary to operate, improve, secure, promote, and provide the Platform and the applicable campaign.

This license does not authorize us to sell ownership of your User Content. Public content may remain visible through shares, cached pages, campaign records, or other users' lawful copies after deletion. We may retain records as required for security, audit, dispute, legal, tax, or compliance purposes.

A Business receiving TryMe or campaign content receives only the rights expressly granted in the campaign terms. Businesses may not use participant content beyond those rights.

20. Community Standards and Prohibited Conduct

You may not:

• violate any law, regulation, court order, professional rule, third-party platform rule, or another person's rights;
• misrepresent identity, age, residence, business status, licensing, ownership, affiliation, eligibility, product authenticity, inventory, performance, or results;
• create duplicate or linked accounts to evade rules, sanctions, limits, verification, payment obligations, or eligibility controls;
• use bots, scripts, scraping, automation, click farms, fake engagement, credential stuffing, malware, or unauthorized security testing;
• manipulate Marketplace statistics, Trust Scores, reviews, referrals, task evidence, campaign outcomes, entries, queues, selection pools, or rewards;
• sell counterfeit, stolen, illegal, unsafe, recalled, regulated, infringing, or prohibited goods or services;
• harass, threaten, exploit, discriminate against, stalk, impersonate, or dox another person;
• upload malicious code, interfere with Platform operation, bypass access controls, reverse engineer protected elements except where law permits, or overload our systems;
• use the Platform to facilitate prohibited financial activity, including unlawful money transmission, securities offerings, or illegal fundraising;
• collect or use another person's personal information without lawful authority and required notice or consent.

21. Intellectual Property

The Platform, software, interfaces, designs, databases, text, graphics, logos, trademarks, service marks, selection methods, campaign architecture, and other materials owned by Each4Other™ are protected by intellectual-property laws. Except for the limited right to use the Platform under these Terms, no rights are granted.

Each4Other™™, E4O™, Dream Auction™™, associated logos, and other brand identifiers are trademarks or service marks of Each4Other™ Inc. You may not use them in a manner that implies sponsorship, endorsement, partnership, or affiliation without written permission.

The Dream Auction™™ process and certain related platform methods are the subject of a pending provisional patent application owned by Each4Other™ Inc. Patent Pending.

Copyright and trademark complaints must be submitted under our Copyright/DMCA and Trademark Policy. We may remove or restrict content and accounts in response to a valid complaint.

22. Third-Party Services

The Platform may integrate or link to services operated by third parties, including Stripe, Shippo, cloud, analytics, identity, tax-document, security, communications, social media, and random-value providers.

Third-party services are governed by their own terms and privacy notices. We do not control and are not responsible for their independent acts, availability, security, errors, pricing, carrier performance, or decisions.

Use of ANU Quantum Numbers or another external randomness source is governed by the Dream Auction™™ Official Rules. The external provider supplies a random value and does not sponsor, endorse, administer, or operate Dream Auction™™.

23. Moderation, Risk Controls, and Enforcement

We may use automated signals and manual review to detect fraud, duplicate accounts, unsafe content, prohibited products, suspicious payments, chargebacks, account compromise, manipulation, fulfillment failures, and other risks.

Depending on the circumstances, we may issue a warning; request edits or documents; reject or remove content; pause a listing, store, campaign, reward, payout, shipment, or feature; limit participation; mark an account for review; freeze an account; or impose a temporary or permanent suspension.

Material administrative actions may be logged with the responsible administrator, date and time, reason, previous status, new status, and internal notes. Administrative rewards or priority tools may not change Dream Auction™™ entry weight or independent selection.

Where an appeal process is available, you must submit complete and truthful information within the stated period. We may maintain restrictions while an appeal is reviewed.

24. Account Suspension and Termination

You may stop using the Platform at any time. You may request account closure through available account or support channels, subject to retention required for transactions, disputes, fraud prevention, legal compliance, and audit.

We may suspend, restrict, or terminate access when we reasonably believe you violated these Terms or a feature-specific rule; created legal, financial, security, safety, or reputational risk; failed verification; misused payments; or endangered another person or the Platform.

Termination may result in loss of access to profiles, tools, pending campaign eligibility, promotional credits, or other revocable benefits, subject to applicable law and any completed transaction rights.

Sections that by their nature should survive termination remain effective, including intellectual property, payment obligations, taxes, disclaimers, limitations of liability, indemnification, dispute terms, audit and record rights, and language priority.

25. Taxes

You are responsible for your own tax obligations arising from Platform activity, purchases, sales, services, rewards, payouts, referrals, or other benefits.

Businesses are responsible for sales, use, value-added, income, withholding, information-reporting, and other taxes connected with their Marketplace sales, services, campaigns, employees, contractors, and business activity, except to the extent applicable law expressly assigns a duty to another party.

For Dream Auction™™ lots, the Lot Provider is the Tax Reporting Party unless the Lot-Specific Rules expressly identify another party. The Lot Provider must determine fair market value, monitor applicable statutory thresholds and official reporting limits, consider aggregate value during the relevant reporting period, collect required recipient information through a lawful secure process, and prepare, deliver, file, and retain required forms and records.

Each4Other™ may provide technical integrations through Stripe or another approved provider for Business onboarding or business tax-document collection. Such functionality does not by itself make Each4Other™ the Lot Provider's tax agent or Tax Reporting Party. Each4Other™ does not intend to store full SSNs or full tax identification numbers on the Platform.

A Lot Provider may not require a selected participant to transmit sensitive tax identifiers through ordinary Platform messages or unsecured email. The Lot Provider must use an authorized secure process and comply with applicable privacy and security law.

26. Privacy and Data Handling

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Platform, you acknowledge the practices described there.

Account, profile, address, location, transaction, interaction, device, risk, content, shipping, and verification information may be processed to provide the Platform, determine eligibility, personalize content, prevent fraud, moderate activity, fulfill transactions, provide analytics, and comply with law.

Certain sensitive financial, identity, or business information is processed directly by Third-Party Providers under their own terms and privacy notices. We may receive status, verification, risk, transaction, or reference information without receiving the full underlying sensitive identifier.

Business analytics may include aggregated or de-identified information about audience behavior, product views, virtual interactions, campaign performance, and category trends, as described in the Privacy Policy.

27. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." EACH4OTHER DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, OR AVAILABLE AT ALL TIMES; THAT CONTENT, STATISTICS, REVIEWS, BADGES, TRUST SCORES, OR RECOMMENDATIONS ARE COMPLETE OR RELIABLE; OR THAT A BUSINESS, CREATOR, USER, PRODUCT, SERVICE, CAMPAIGN, OR THIRD-PARTY PROVIDER WILL MEET YOUR EXPECTATIONS.

EACH4OTHER DOES NOT PROVIDE LEGAL, TAX, MEDICAL, FINANCIAL, PROFESSIONAL, OR INVESTMENT ADVICE. USERS AND BUSINESSES MUST OBTAIN THEIR OWN ADVICE WHERE APPROPRIATE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

28. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH4OTHER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR BUSINESS; OR DAMAGES ARISING FROM THIRD-PARTY PRODUCTS, SERVICES, CONTENT, USERS, BUSINESSES, CREATORS, CARRIERS, OR PROVIDERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH4OTHER'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID DIRECTLY TO EACH4OTHER FOR THE AFFECTED SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS.

THE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR OUR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE WHERE NON-WAIVABLE, OR OTHER NON-WAIVABLE STATUTORY RIGHTS.

29. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Each4Other™ and its officers, directors, employees, affiliates, agents, and service providers from claims, losses, liabilities, penalties, taxes, interest, damages, judgments, and reasonable costs arising from or related to: your use of the Platform; your content; your products, services, store, campaigns, tasks, recommendations, or lots; your breach of these Terms; your violation of law or another person's rights; or your fraud, negligence, or misconduct.

A Business's indemnity includes claims concerning product safety, authenticity, labeling, licensing, fulfillment, employment or contractor relationships, advertising, endorsements, intellectual property, taxes, information reporting, consumer protection, privacy, and data security.

We may control the defense of a claim subject to indemnification, and you must reasonably cooperate. You may not settle a claim in a way that admits fault by or imposes obligations on Each4Other™ without our written consent.

30. Disputes and Governing Law

30.1 Informal Resolution

Before filing a legal claim, you and Each4Other™ agree to attempt informal resolution for at least thirty (30) days after written notice describing the dispute, requested relief, and relevant account or transaction information. This requirement does not prevent either party from seeking urgent injunctive relief or using a small claims court where eligible.

30.2 Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise.

30.3 Venue

Except for eligible small claims matters or claims subject to a mandatory venue under applicable law, the state and federal courts located in or serving Montgomery County, Pennsylvania will have exclusive jurisdiction, and the parties consent to personal jurisdiction there.

30.4 No Waiver of Mandatory Rights

Nothing in these Terms limits a consumer right, regulator authority, jurisdiction, venue, remedy, or procedure that cannot lawfully be waived.

31. Changes to the Platform or Terms

We may update these Terms to reflect new features, legal requirements, security needs, business practices, or operational changes. The revised Terms will state a new effective date.

When required by law or when a change is materially adverse, we will provide reasonable notice through the Platform, email, or another appropriate method. Continued use after the effective date constitutes acceptance, except where affirmative consent is required.

Changes do not retroactively alter completed transactions or vested rights except where required by law, necessary to correct fraud or error, or expressly agreed.

32. Electronic Communications

You consent to receive agreements, disclosures, receipts, notices, account messages, and other communications electronically. Electronic records and signatures may have the same legal effect as paper records and handwritten signatures where permitted by law.

You must maintain a current email address and other contact information. Notices sent to the contact information associated with your account are effective when transmitted, subject to applicable law.

Marketing communications may be subject to separate consent and opt-out rights. Transactional, security, legal, and account communications may still be sent when necessary.

33. Miscellaneous

These Terms and incorporated policies are the entire agreement between you and Each4Other™ regarding the Platform, except for a separate written agreement signed by authorized representatives.

If a provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective.

Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.

Section headings are for convenience only. "Including" means "including without limitation." References to laws include amendments and successor provisions.

The English version is the original. Translations are provided for convenience. To the extent permitted by applicable law, the English version controls in the event of inconsistency, ambiguity, or conflict.
